By ticking the box when you sign up for the free trial, and again when you buy a plan, you confirm that you have read and accept these Terms and the Privacy Policy. We record the date and version of your acceptance together with your account email address. This includes the arbitration and class-action waiver in section 13A, which you can opt out of within 30 days. When you buy a plan you also tick a separate box about the 14-day withdrawal right (section 5A); we record that too.

1. The service

Northgate Connect provides VPN access for the number of devices that depends on the plan you buy (1, 2 or 3 devices connected at the same time). The service is operated by Northgate Connect LLC, a Nevada limited liability company ("Northgate Connect LLC" or "the Company") in the State of Nevada, USA. In these Terms, "we", "us" and "our" mean the Company. Our business mailing address is 3614 Spencer Street, Las Vegas, NV 89169, USA. You must be at least 18 years old and able to form a binding contract to use it.

Service limits. We work to keep the service running, but we do not promise any level of uptime, speed, capacity or availability. We do not promise that the service will work in every country or on every network, or that it will not be slowed down, throttled or blocked by your internet provider, a government, or a website or service you try to reach. We do not promise that any particular website, app or streaming service will work through the VPN. The device limit of your plan is enforced by the server. Fair use: the service is for ordinary personal use. We may slow down, limit or disconnect connections that use an unreasonable share of the servers or the network, or that put the service at risk for other customers. We may do maintenance, change servers, addresses, ports or technical details, and change or stop any part of the service at any time. If we stop the whole service, we will tell you by email and on your account page, and we will not charge you again for it.

2. Free trial

A new customer can get a free trial: 24 hours of VPN access for 1 device, with no payment details. The 24 hours start when you confirm your email address with the link we send you. One free trial per person: one per email address and one per network (IP) address. Email addresses that differ only by capital letters, a "+tag" or (for Gmail) dots count as the same address, and a trial can be refused from a network address that already started one in the previous 30 days. The trial ends by itself after 24 hours, does not renew and is never charged. When it ends your VPN login is switched off, and you can get access again by choosing a plan in your account. We may refuse or end a trial if we reasonably believe the one-trial rule is being avoided.

3. Plans, billing and renewal

Plans are chosen and paid for by PayPal inside your account. They are billed every 12 months and renew automatically until cancelled. Prices: 1 device USD 39, 2 devices USD 69, 3 devices USD 99 per 12 months. You can cancel at any time on your account page or in PayPal. After cancelling, access continues until the end of the paid period. Renewal reminders: we email every subscriber whose plan renews automatically 30 days before each renewal date (in any case no earlier than 45 and no later than 15 days before it), with the renewal date, the amount and how to cancel, and again 7 days and 1 day before. If your first renewal date is less than 30 days after you buy (for example after an upgrade credit under section 4), it is shown to you before you pay and we send the reminders that still fit before it. The seller of all plans is Northgate Connect LLC, a Nevada limited liability company, 3614 Spencer Street, Las Vegas, NV 89169, USA.

4. Upgrades and credit for unused months

While a paid plan is running you can upgrade to a plan with more devices from your account (not to a plan with fewer devices; a smaller plan can be chosen after the current one ends). Each full month you have not yet used on your current plan is credited toward the new plan. Credit = whole months left × (price you paid ÷ 12). Part months are not credited, and trial time has no credit. The credit is applied as time on your new plan, not as money: PayPal does not charge you for the new plan until that time is used up, so your first payment for the new plan is on a date shown to you before you pay, and the plan renews every 12 months from then. Your old subscription is cancelled once the new one is active so you are not billed twice. If you have less than one full month left, there is no credit and the new plan is charged when you buy it.

4A. Coupons and referral credit

A coupon code, where we give one out, adds the number of free months shown to you to the plan you buy. Referral credit works on two levels and is paid only as free months of service (account credit), never as cash. Level 1: when a customer you referred through your private referral link makes a first real payment, you receive 1 free month. Level 2: when a customer referred by one of your direct referrals makes a first real payment, you receive half a free month, given as 1 free month for every 2 such payments. There are no further levels: nothing is earned for anyone referred below the second level. A free trial or sign-up alone earns nothing, and credit is earned only on a real, completed payment, not while that payment is refunded, reversed or disputed. Free months are time, not money: they have no cash value, cannot be sold, transferred or refunded. When you buy a plan with free months, you are charged the full price for the first 12 months at once, the free months are added to your access immediately (for example 12 months + 3 free = 15 months), and the plan's next PayPal charge is at the end of the free months, not at the end of the first 12 months. The checkout page shows the amount charged today, the date your access runs to and the date of the next charge before you pay. If you have a plan that is already running and renewing, free months are saved and added when you next buy or upgrade a plan or, if you cancel it, to the end of it. When free months are combined with an upgrade credit (section 4), the new plan's first payment is delayed instead, as described in section 4. Each account can use one coupon. Referral credit has no cash value, is not payment for services or for finding customers, and cannot be withdrawn, sold or transferred. We limit referral credit to 12 free months per account in any 12 months, both levels together (currently; the limit may change). We may change, limit, suspend or end the referral program, its levels or its rewards at any time, for future referrals and for credit not yet earned, and we may refuse, reverse or cancel a coupon or credit, and lock the benefit, if we reasonably believe it was obtained by abuse, such as referring yourself, referring accounts you control, or creating accounts to earn credit. The account page shows your network (masked addresses only) and the credit earned. The referral program is private: it is available only through personal links, and you may not advertise it publicly or send unsolicited bulk messages to promote it. If the English and Chinese versions differ, the English version governs.

5. All sales are final

All sales are final. We do not give cash refunds, including for unused time, partial periods, renewals you forgot to cancel, or if you stop using the service. Cancel before the renewal date to avoid the next charge. We may, at our sole discretion, choose to refund a payment in a particular case. Doing so once does not oblige us to do it again. The upgrade credit in section 4 is the only way unused months are given back, and only toward a larger plan. Nothing in these Terms removes any right you have under law or PayPal's own buyer-protection and dispute rules. You can still open a dispute with PayPal. See the refund page.

5A. Right to withdraw (EU and UK customers)

If you are a consumer in the European Union or the United Kingdom, you may have a legal right to withdraw from a distance purchase within 14 days. Our service is provided as soon as you pay. Before you pay for a plan you must tick a separate box: "I request immediate access and understand I lose my 14-day withdrawal right." By ticking it you ask us to start the service immediately and confirm that you lose your 14-day right of withdrawal. We ask every buyer to tick this box, wherever you live, and we record that you ticked it with the date and the Terms version. Section 5 (all sales are final) applies on that basis. Nothing in this section limits a right that the law of your country does not allow to be waived. See also the Refund Policy.

6. Failed payments

If a renewal payment fails, access continues for 5 days while PayPal retries. After that your VPN login is locked. A locked account is kept for 30 days, and a later payment restores it. After that the VPN account is deleted, and your stored data is deleted about 90 days after the lock (except the record of your acceptance of these Terms, which is kept as described in the Privacy Policy).

7. Disputes, chargebacks and reversals

If a payment is refunded or reversed, or if a dispute or chargeback is opened with PayPal for it, your VPN login is locked immediately. While a dispute is open the account stays locked and no plan can be bought or upgraded. Access is restored if the dispute is resolved in our favour, or if we choose to restore it. If the dispute is decided in your favour the payment is treated as refunded and the account stays locked until you pay again. Disputes opened with PayPal are decided under PayPal's own rules and process, not under these Terms. We may share the records we hold about your purchase with PayPal to respond. Please contact us first if you have a problem with a payment.

8. Acceptable use

You may use the service only for lawful purposes. You must not use it, or let anyone else use it, to:

• break any law that applies to you or to us, including laws on fraud, hacking, harassment, threats, child sexual abuse material and terrorism;
• infringe copyright, trademarks or other rights of others, including sharing or downloading material without permission;
• send spam, phishing, malware or any bulk unwanted messages;
• attack, scan, probe or try to break into any computer, network or account, or run denial-of-service or similar attacks;
• hide or support any of the above, or use stolen payment methods or other people's accounts;
• resell, rent or share the service, or run a competing service on it;
• share your login with more people or devices than your plan allows: your login is for you, and may be used on no more devices at the same time than your plan's device limit;
• try to avoid the device limit, the one-trial rule, or any other technical or billing limit;
• harm, overload or interfere with the servers, other customers or our staff.

You are responsible for everything done with your login. You are also responsible for knowing and following the laws of the country where you are and of any place you connect to. Using a VPN is not lawful or permitted in every country. We do not give legal advice about this, and we are not responsible if using the service breaks a law or a rule that applies to you.

8A. Sanctions and export controls

By using the service you confirm that you are not located in, ordinarily resident in, or organised under the laws of a country or region that is the target of comprehensive U.S. sanctions; that you are not named on, and are not owned or controlled by anyone named on, a U.S. government restricted-party list such as the OFAC Specially Designated Nationals list; and that you are not acting for or on behalf of any such country, region or person. You must not use the service in breach of U.S. sanctions or export-control laws. Northgate Connect LLC, a Nevada limited liability company may refuse to provide the service to you, and may suspend or end your access at once and without refund (section 9), if it reasonably believes any of this is untrue or that providing the service to you would break the law.

8B. Copyright (DMCA) notices and repeat infringers

We respect copyright. We provide a VPN and do not host or store our customers' content, but if you believe material is being used through the service in a way that infringes your copyright, send a written notice under 17 U.S.C. § 512(c)(3) to support@northgateconnect.us with the subject "Copyright notice". It must include: your physical or electronic signature; identification of the copyrighted work; identification of the material and enough detail for us to locate the account or activity; your name, postal address, telephone number and email address; a statement that you have a good-faith belief that the use is not authorised by the owner, its agent or the law; and a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act for the owner.

We may forward a notice to the customer concerned. We terminate the accounts of customers who are repeat infringers in appropriate circumstances. If you are a customer and believe a notice was sent by mistake, you may send a counter-notice to the same address with: your signature; identification of the material and where it appeared; a statement under penalty of perjury that you have a good-faith belief it was a mistake or misidentification; your name, address and telephone number; and your consent to the jurisdiction of the federal court for your address (or, outside the United States, of the federal courts in Nevada) and that you will accept service of process from the person who sent the notice. We may then restore the matter 10 to 14 business days after we forward your counter-notice unless the sender tells us it has filed a court action. Knowingly false notices or counter-notices can create legal liability.

9. Suspension and termination

We may suspend or end your access, with or without notice, if we reasonably believe you broke these Terms or the law, if a payment is refunded, reversed or disputed, if your use puts the service or other customers at risk, or if we receive valid legal process under US law, or as stated in section 8A. If we end your access because you broke these Terms, there is no refund or credit. You may stop using the service and cancel your plan at any time as described in section 3. After the end of your access, the data rules in the Privacy Policy and section 6 apply.

10. No warranty and limit of liability

In this section 10, "we" and "the Company" mean Northgate Connect LLC, a Nevada limited liability company, and its members, managers, employees and agents.

The service is provided "as is" and "as available". To the fullest extent the law allows, we give no warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, uninterrupted or error-free operation, security, or that the service will not be blocked or will meet your needs. A VPN does not make you anonymous or fully safe, and you use it at your own risk.

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, lost business or loss of goodwill, even if we were told they might happen. Our total liability to you for all claims about the service or these Terms will not be more than the amount you paid us in the 12 months before the event that gave rise to the claim. Some places do not allow some of these limits, so they apply only as far as the law of your place permits. Nothing in these Terms limits any liability that cannot be limited by law.

11. Your responsibility to us

In this section 11, "the Company" means Northgate Connect LLC, a Nevada limited liability company, and its members, managers, employees and agents. You agree to defend and indemnify the Company against claims, losses, costs and expenses (including reasonable attorneys' fees) that come from your use of the service, your breach of these Terms, or your breach of any law or of the rights of another person.

12. Changes

We may change the service and these Terms. The version number at the top of this page changes when the Terms or the Privacy Policy change in substance. We will post the new Terms on this page, and for a change that makes things materially worse for customers with a paid plan we will email you at your account address at least 30 days before it takes effect. If you do not agree, you can cancel before the date it takes effect and keep your access until the end of the paid period. Continuing to use the service after a change takes effect means you accept it. We will tell you at least 30 days before any change to the price of your plan takes effect (by email, and in the renewal reminder), and a new price applies only from your next renewal after that notice. If you do not accept a new price, cancel before that renewal.

13. Governing law and disputes

These Terms and any dispute about them or the service are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-law rules. Subject to section 13A (arbitration and small claims), any lawsuit must be brought only in the state or federal courts located in Nevada, and you and we agree to the personal jurisdiction of those courts. Please contact us first and give us a chance to put things right before you start a dispute. Payment disputes opened with PayPal are decided under PayPal's rules, as described in section 7. If any part of these Terms is found unenforceable, the rest stays in force. These Terms, the Privacy Policy and the Refund Policy are the whole agreement between you and us about the service.

13A. Arbitration and class-action waiver

Please read this section carefully. It affects your legal rights.

• Talk to us first. Email support@northgateconnect.us with a description of the problem. We both try to resolve it informally for 30 days before either starts a formal proceeding.
• Individual arbitration. Except as stated below, any dispute or claim between you and Northgate Connect LLC, a Nevada limited liability company (the Company) arising out of or relating to these Terms, the service or billing will be resolved by final and binding arbitration on an individual basis, not in court. The arbitration is administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (adr.org), including its rules on who pays the fees. Hearings, if any, may be held by phone or video. The arbitrator applies these Terms and may award the same individual relief a court could. Judgment on the award may be entered in any court that has jurisdiction.
• Small claims. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction, if it qualifies.
• Other court claims. Either of us may go to court to ask for urgent injunctive relief to protect intellectual property or the security of the service.
• No class actions. You and the Company may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not combine other people's claims with yours or preside over a class proceeding. If this class-action waiver is found unenforceable for a claim, that claim (and only that claim) goes to the Nevada courts named in section 13, and the rest of this section stays in force.
• You can opt out within 30 days. To opt out of arbitration and the class-action waiver, email support@northgateconnect.us within 30 days after you first accept these Terms with the subject "Arbitration opt-out", from or naming your account email address. If you were already a customer when this section was added, the 30 days run from the date this section takes effect for you under section 12. Opting out changes nothing else in these Terms, and disputes then go to the courts named in section 13.
• Law and scope. The Federal Arbitration Act governs this section; otherwise Nevada law applies as stated in section 13. If the law of the place where you live does not allow you to give up your right to go to court or to bring a class claim, this section applies only as far as that law permits. This section survives the end of your account.
